These terms and conditions (“Terms”) govern your use of Apex Suite, a SaaS software suite provided by Arma Communications. By using Apex Suite, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use Apex Suite.

1. License to use Apex Suite

Subject to these Terms, Arma Communications grants you a limited, non-exclusive, non-transferable, and revocable license to access and use Apex Suite for your internal business purposes.

2. Restrictions on use

You agree not to:

• Use Apex Suite for any illegal, fraudulent, or harmful purpose
• Attempt to gain unauthorized access to Apex Suite or its systems
• Copy, modify, distribute, or create derivative works of Apex Suite
• Reverse engineer, decompile, or disassemble Apex Suite
• Use Apex Suite to build a competitive product or service.

3. Fees and payment

You agree to pay all fees for your use of Apex Suite in accordance with the pricing and payment terms provided by Arma Communications. Arma Communications reserves the right to modify its pricing and payment terms at any time with prior notice to you.

4. Intellectual property rights

All intellectual property rights in Apex Suite, including all software, content, and trademarks, are owned by Arma Communications or its licensors. You may not use any Arma Communications intellectual property without prior written consent.

5. Disclaimers and limitations of liability

Apex Suite is provided “as is” without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. Arma Communications shall not be liable for any damages arising out of your use of or inability to use Apex Suite, including but not limited to direct, indirect, incidental, special, or consequential damages.

6. Indemnification

You agree to indemnify and hold harmless Arma Communications and its affiliates, officers, directors, employees, and agents from any and all claims, damages, expenses, and liabilities arising out of your use of Apex Suite, your breach of these Terms, or your violation of any law or regulation.

7. Termination

Arma Communications may terminate these Terms and your use of Apex Suite at any time, with or without cause. Upon termination, you must immediately stop using Apex Suite and delete any copies of Apex Suite in your possession.

8. Governing law and jurisdiction

These Terms and your use of Apex Suite shall be governed by and construed in accordance with the laws of Nevada. Any disputes arising out of these Terms or your use of Apex Suite shall be resolved in the courts of Nevada.

9. Changes to these Terms

Arma Communications may modify these Terms at any time by posting the revised terms on its website or notifying you by email. Your continued use of Apex Suite after any modification to these Terms constitutes your acceptance of the revised terms.

10. Entire agreement

These Terms constitute the entire agreement between you and Arma Communications regarding your use of Apex Suite and supersedes all prior agreements and understandings, whether written or oral.
